These Terms of Service ("Terms") govern your access to and use of PLC Copilot, including the web app, APIs, documentation, and related software made available to help users work with PLCs and automate code tasks (collectively, the "Service"). By using the Service, you agree to these Terms.

If you are using the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.
1. Access and Use
1.1 Provision of Access.
PLC Copilot provides tools to help users work with PLC code, including analysis, documentation generation, and code suggestions. Subject to your compliance with these Terms, we grant you a limited, non-exclusive right to access and use the Service.
1.2 Content.
You may provide inputs to the Service ("Inputs") and receive outputs, suggestions, or other results ("Suggestions"). Inputs and Suggestions are collectively referred to as "Content." You represent that you have the rights and permissions necessary to submit Inputs and that you are responsible for any Content you provide. You are strictly responsible for ensuring that your Inputs do not violate any confidentiality agreements, non-disclosure agreements (NDAs), or trade secret policies of your employer, clients, or any third party.
1.3 Model Training.
PLC Copilot will not use your Inputs or Suggestions to train AI models or share with third parties for training purposes unless you explicitly consent. Forge IO, Inc. carefully chooses third-party AI service providers whose terms prohibit the use of customer data for training their foundational models. While we take commercially reasonable steps to ensure these protections are in place, we do not directly control these third-party providers and shall not be held liable for any unauthorized data processing, use, or breach of agreements by such third parties.
1.4 Limitations for Suggestions.
Suggestions are generated automatically and may contain errors. You acknowledge that PLC Copilot cannot guarantee accuracy, completeness, or suitability for any specific purpose. You are solely responsible for evaluating and testing Suggestions before using them in production.
1.5 Use Restrictions.
You may not:
- Reverse engineer, decompile, or attempt to access underlying source code of the Service.
- Reproduce, modify, or create derivative works of the Service.
- Sell, rent, or lease the Service.
- Use the Service or Suggestions to develop a competing tool or to train models.
- Access the Service in violation of any laws or third-party rights.
- Circumvent, disable, or interfere with any security features or usage limits of the Service.
- Access or use the Service in violation of any laws, third-party rights, or for any malicious purposes as outlined in Section 1.9.
1.6 Beta Services.
From time to time, PLC Copilot may offer beta or early-access features. Beta Services are for evaluation purposes only and are provided "as-is" without warranties. We may discontinue Beta Services at any time. By submitting feedback, comments, or suggestions about our Beta Services, you assign all rights, title, and interest in such feedback to PLC Copilot. We reserve the right to use, implement, or discard this feedback at our sole discretion, without any obligation or compensation to you.
1.7 Auto-Execution Features.
Some features may automatically execute code or PLC instructions. By using these features, you accept all risks, including potential hardware or software impacts, data loss, or safety issues. You are responsible for safeguards, testing, and monitoring.
1.8 Prohibition on Reverse Engineering.
You shall not, directly or indirectly, reverse engineer, disassemble, decompile, decode, decrypt, translate, reconstruct, transform, extract, or otherwise attempt to derive or gain access to the source code, underlying algorithms, data structures, architectures, interfaces, or any other non-public aspects of the Service or any component thereof. This prohibition applies to you and to any third party acting on your behalf. Any attempt to circumvent technical protection measures, access controls, or obfuscation techniques employed by the Service shall constitute a material breach of these Terms and may give rise to civil and criminal liability under applicable law, including the Computer Fraud and Abuse Act and the Digital Millennium Copyright Act. Forge IO, Inc reserves all rights and remedies available at law or in equity in connection with any such violation.
1.9 Acceptable Use and AI Abuse.
The AI features provided by PLC Copilot must be used solely for their intended, constructive purposes. You are strictly prohibited from utilizing the AI to generate content for, or actively facilitate, any form of abuse, illegal activity, cyberattacks, malicious code generation, or any other unauthorized conduct. We reserve the right to actively monitor for such misuse and will immediately suspend or permanently block your access to the Service without refund if a violation occurs. In severe cases involving illegal acts or security threats, we reserve the right to report your activities and account details to the appropriate law enforcement authorities.
2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By agreeing to these Terms, you represent that you meet this requirement and that your use complies with applicable laws.
3. Account Registration
To use certain features, you must create an account. You agree to provide accurate information and maintain your account credentials securely. You are responsible for all activity under your account and must notify us immediately using the contact form on the webapp.
4. Payment Terms
4.1 Paid Services.
Certain features may require payment. All fees are listed in USD and are non-refundable except if stated otherwise.
4.2 Pricing Changes.
We may update pricing at any time with reasonable notice. Continued use after price changes constitutes acceptance.
4.3 Payment Processing.
We use third-party processors (e.g., Stripe) to handle payments. Use of the Service's payment features indicates acceptance of their terms.
4.4 Subscription Services.
Subscription plans may renew automatically unless canceled at least 24 hours before the next billing cycle. Cancel subscriptions via the account dashboard or by contacting us using the contact form.
Usage limits apply based on your selected subscription tier. Prices displayed do not include applicable taxes, which will be calculated and applied at checkout. We reserve the right to modify our plans, usage limits, and pricing at our sole discretion, with prior notice provided for any changes impacting your active subscription.
Base credits allocated as part of your standard monthly subscription do not roll over to the next billing cycle. However, users on an active paid plan may purchase additional "Extra Credits". The remainder of these Extra Credits roll over from month to month and remain valid for exactly one year from the date of purchase, after which any unused credits will expire. An active paid subscription is strictly required to utilize any remaining on-demand credit balance.
4.5 Add-Ons.
Optional add-on features are subject to separate fees and are considered part of the Service.
4.6 Delinquent Accounts.
We may suspend or terminate accounts with unpaid fees. Delinquent accounts may incur collection fees, and data associated with terminated accounts may be deleted.
4.7 Refunds.
Perpetual licenses are non-refundable. Our money-back guarantee applies exclusively to the Pro and Ultra subscription plans. A full refund for subscription purchases is available if requested within 15 days of the first month's payment date. After the initial 15-day period, the payments are non-refundable. Under no circumstances will retroactive refunds be issued for prior billing cycles, even in the event of account inactivity or unused credits.
5. Ownership and Licenses
5.1 Service Ownership.
PLC Copilot and its licensors retain all rights and intellectual property in the Service.
5.2 Feedback and Submissions.
By submitting feedback, suggestions, ideas, feature requests, bug reports, enhancement proposals, or any other communications or materials to Forge IO, Inc, whether submitted through the Service, contact forms, email, social media, third-party platforms, telephone, in-person communications, or any other channel, you hereby irrevocably assign and transfer to Forge IO, Inc all right, title, and interest in and to such submissions, including all intellectual property rights therein. Forge IO, Inc shall have the unrestricted right to use such submissions for any purpose, commercial or otherwise. You represent and warrant that your submissions do not infringe any third-party rights and that you have full authority to make the assignment described herein.
5.3 Content Ownership.
You retain ownership of Inputs. PLC Copilot does not use your Inputs or Suggestions to train AI models unless you explicitly consent. Subject to your compliance with these Terms and applicable law, PLC Copilot assigns to you any rights it may have in Suggestions generated for you, and you may use those Suggestions for any lawful purpose, including internal, client-facing, and commercial use.
5.4 Usage Data.
We may analyze usage data for service improvement in aggregated form, under confidentiality obligations.
6. Third-Party Services
The Service may include third-party integrations and API calls to provide functionality, including but not limited to AI model services, payment processing, and analytics. Your use of these services is subject to their terms.
When you use the Service, your Inputs may be transmitted to third-party service providers through API calls to generate Suggestions and provide other features. We have no control over how these third-party services handle, process, store, or use your Inputs once they are transmitted. Each third-party service operates under its own privacy policies and terms of service, which govern their use of your data.
We work exclusively with US-based companies that adhere to industry-standard security practices and data protection measures. These service providers are selected based on their commitment to data security, compliance with applicable regulations, and established track records in their respective industries. However, you acknowledge and agree that PLC Copilot is not responsible for the actions, policies, or practices of these third-party services, including how they handle your Inputs or any data breaches that may occur on their systems.
7. Communications
We may send emails regarding the Service. You can opt out of promotional messages as described in each email.
8. Modifications to Terms
We may update these Terms periodically. When we make material changes, we will notify you by sending an email to the address associated with your account at least fourteen (14) days prior to the changes taking effect. Non-material changes may take effect immediately upon posting. It is your responsibility to maintain a current, valid email address on your account. Your continued use of the Service following the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service before the effective date.
9. Termination
You may stop using the Service at any time. We may suspend or terminate your account or access for any reason, including violations of these Terms. Paid subscriptions may be refunded pro-rata if terminated by us for reasons other than violation.
10. Service Operations and Interruptions
10.1 Modifications to the Service.
We reserve the right to modify, suspend, or permanently discontinue any feature, component, or entire aspect of the Service at any time, with or without notice, and without liability to you or any third party.
10.2 Force Majeure.
Forge IO, Inc will not be liable or responsible for any failure, downtime, or delay in providing the Service, or fulfilling any of our obligations under these Terms, if such failure or delay is caused by events beyond our reasonable control. This includes, but is not limited to, natural disasters, fires, floods, war, terrorism, riots, labor disputes, governmental actions, prolonged power outages, telecommunication or internet failures, cyberattacks, or the disruption and outages of third-party service providers (including cloud hosting platforms and third-party AI APIs).
10.3 No Support Obligation.
The Service is provided without any guaranteed service level agreement (SLA). While we strive to maintain a high-quality experience, we are not obligated to provide technical support, maintenance, or specific uptime guarantees unless explicitly agreed upon in a separate, written enterprise contract.
11. Copyright Complaints
Report copyright infringement to us, using the contact form on the webapp, with required information per DMCA standards.
12. Privacy
Your use of the Service is subject to our Privacy Policy.
13. Indemnity
You agree to defend, indemnify, and hold harmless Forge IO, Inc and its affiliates against claims arising from your use of the Service or violation of these Terms.
14. Disclaimers
The Service is provided "as-is" and "as available." We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
15. Limitation of Liability
To the fullest extent allowed by law, Forge IO, Inc is not liable for indirect, incidental, special, or consequential damages. Our aggregate liability is limited to the greater of (a) the fees you paid in the six months prior to the event or (b) $100.
16. Dispute Resolution
Arbitration. Any disputes are resolved via binding arbitration under AAA rules. Class or representative actions are prohibited. You may opt out of arbitration within 30 days of account creation by contacting us using the contact form on the webapp.
17. Miscellaneous
Governing Law: Washington law governs these Terms.
Electronic Communications: By using the Service, you consent to electronic notices.

No Support Obligation: We are not required to provide support.
Export Controls: You must comply with applicable trade and export laws.
Assignment: You may not assign, transfer, or sublicense your rights or obligations under these Terms, including account access or credentials, without the prior express written consent of Forge IO, Inc. Any unauthorized transfer is null and void. Forge IO, Inc may freely assign these Terms to any affiliate, successor, or acquirer without notice.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Entire Agreement: These Terms constitute the entire agreement between you and Forge IO, Inc regarding the Service and supersede any prior agreements.
